BY ACCESSING AND/OR USING THE USA BENEFITS WEB SITE (THE “WEB SITE”) AND/OR OUR SERVICE (THE “SERVICE”), YOU AGREE TO COMPLY WITH, AND BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS (THE “AGREEMENT”).
NOTICE TO CARD MEMBER: (A) DO NOT USE THIS CHARGE ACCOUNT BEFORE YOU READ THIS AGREEMENT. (B) THIS IS NOT A VISA NOR A MASTERCARD. (C) THE COST OF MEMBERSHIP IN USA BENEFITS CREDIT BUILDER ELITE IS $49.95 AT ENROLLMENT AND $49.95 PER MONTH FOR EVERY MONTH THEREAFTER. (D) WITH YOUR MEMBERSHIP, AND AS LONG AS YOU ARE A MEMBER IN GOOD STANDING, USA BENEFITS WILL ESTABLISH AND MAINTAIN A $2,500 LINE OF CREDIT FOR YOU AT NO ADDITIONAL COST. (E) YOU MAY AT ANY TIME PAY OFF THE FULL UNPAID BALANCE UNDER THIS AGREEMENT WITHOUT PENALTY OR ADDITIONAL COSTS. (F) GUARANTEED QUALIFICATIONS: YOU MUST BE 18 YEARS OF AGE, A U.S. CITIZEN (EXCLUDING RESIDENTS OF WISCONSIN, VERMONT AND INDIANA) OR PERMANENT RESIDENT, WITH NO UNDISCHARGED BANKRUPTCIES. (G) CASH ADVANCES. ACCOUNT HOLDERS MAY REQUEST A CASH ADVANCE, AFTER ON-TIME REPAYMENT OF IN FULL OF MERCHANDISE PURCHASES (FOR PURCHASES OF MORE THAN $100 EACH), IN THE TOTAL AMOUNT OF FIFTY PERCENT OF TOTAL ON-TIME MERCHANDISE REPAYMENTS SINCE INCEPTION OF MEMBERSHIP (NOT TO EXCEED $2,500). (H) FREE COMPUTER. MEMBERS WHO MAINTAIN THEIR CREDIT BUILDER ELITE ACCOUNT AND MAKE ON-TIME PAYMENT FOR THOSE SERVICES FOR TWELVE (12) CONSECUTIVE MONTHS WILL BE ENTITLED TO RECEIVE A FREE COMPUTER, PURSUANT TO SECTION 15.

This Agreement contains information about the use of this Charge Account and explains the terms by which both You and We agree to be bound. In this Agreement, the words “You”, "I", "My", and "Me" mean the Card Member or Cardholder. "We" or "the Company" mean USA Benefits, LLC (“USA Benefits”) located in Uniontown, Pennsylvania, and “Charge Account” or “Account” mean the USA Benefits Card.
This Agreement describes the Terms and Conditions under which My USA Benefits Card Account is issued. I certify that I am at least 18 years of age and the information I provided to USA Benefits in order to obtain this Charge Account is true and accurate. I understand that My use of the Charge Account constitutes My acceptance of this Charge Account in accordance with the terms of this Agreement. I understand that My card is being issued with no credit check or investigation. The Minimum Monthly Payment required on My outstanding balance is $25.00 or 15% of the outstanding balance, whichever is greater. (See 12. Minimum Monthly Payment for complete explanation.)
The Federal E-Sign Act (HR-1714) on Final Digital Signature provides that electronic signatures on documents hold equivalent legal status as traditional handwritten signatures. By completing the online application for USA Benefits/Credit Builder Elite, Card Member certifies that their digital signature is the equivalent of its handwritten signature. Also, the Card Member declares that it has read and understands all of the Terms and Conditions and agrees to and does sign each section of these Terms and Conditions with its digital signature.
1. ACCEPTANCE OF AGREEMENT: This Agreement constitutes the entire agreement between You and The Company and warranties and/or understandings with respect to the Web site, and You should review this Agreement prior to each use of the Web site, the Service and/or Your Account. The latest Agreement will be posted on the Web site.
2. DISCLAIMERS: USA Benefits is not a credit services organization, financial or banking institution. Your Account is a line of credit that can be used by an Accountholder to shop exclusively at Our online shopping Web site. This is not a credit repair service.

3. RETURNED AND NSF ACH PAYMENTS: In the event that My USA Benefits Credit Builder Elite monthly membership fee is returned due to non-sufficient funds, USA Benefits may immediately attempt to collect the full amount by presenting My ACH authorization to My original banking institution. Any subsequent debit attempts by USA Benefits will not exceed the Membership Fee. Furthermore, I understand and agree that if USA Benefits is unable to obtain payment from My bank, USA Benefits reserves the right to immediately terminate My Account or reduce available credit until a consistent payment history has been established. I am authorizing Your debit of My bank account; therefore, USA Benefits is not responsible for any overdraft fees charged by My bank or incurred by Me due to its draft attempt(s).
4. CHARGE CARD - CREDIT LIMIT: My USA Benefits Account has been issued with a starting credit limit, which is indicated on the Account Information Form.
5. CREDIT BUILDER ELITE STATUS MEMBERSHIP: As a Credit Builder Elite Status Member, You will receive a $2500, unsecured merchandise credit line as well as enrollment privileges in USA Credit Care, USA Prescription Discount Plan and USA Roadside Assistance Plan and USA Live Well Plan (all provided as a vendor to USA Benefits for USA Benefits service to You pursuant to this Agreement). You will be granted access to the Credit Builder Elite Status privileges upon verification of valid payment information and confirmation of Your identity. We will debit Your checking account in the amount of $49.95 at the time of your enrollment. You will also be debited $49.95 every month thereafter in which You maintain Your Credit Builder Elite Membership Status. You may cancel Your service at any time by contacting Our Member Services Department at 1-800-809-5986 or at memberservices@usamemberbenefits.com. If You cancel Your service after the monthly debit has occurred, You will cancel any subsequent debits, however, You will not receive a refund for the current month. Use of Your Credit Care account requires activation. Upon activation with USA Credit Care, You are bound by the User Agreement provided at the enrollment site.
6. AUTOMATIC PAYMENT PLAN PAYMENT AMOUNT: By applying for USA Benefits Credit Builder Elite, You request that We and authorize Us to automatically deduct from Your bank account the minimum payment due each statement or billing cycle on merchandise purchases. When You receive Your USA Benefits Card, You may call USA Benefits Member Services to modify the amount that You wish to pay through this automatic payment plan by selecting either (a) the full balance due; or (b) a fixed amount each month. Note: If You select a fixed payment amount, We may still deduct from Your bank account the minimum payment due if that amount due is greater than the amount You selected for Your fixed payment. Note: You will not be billed for your Credit Builder Elite monthly membership fee of $49.95. That amount will be automatically deducted from your bank account in accordance with Section 5 of these Terms and Conditions.
7. RESPONSIBILITY AND LIABILITY: USA Benefits shall have no liability with regard to any services provided by any vendor/benefit provider. You agree that any claim with regard to any services shall be made against the vendor of such services and not USA Benefits; USA Benefits sole obligation hereunder shall be to allow access to the vendor/benefit provider. All benefit providers are independent companies and are not agents of USA Benefits. All benefits are subject to the terms and conditions specified by the suppliers. USA Benefits does not have the authority to alter those terms. USA Benefits is not responsible for personal injuries, loss or damage of property, inconvenience or expense resulting from matters beyond its control, government actions, strikes, theft, and changes in benefit offering, or acts of God. USA Benefits may, in its sole judgment, make any changes and cancellations to any benefits that it believes necessary. Individual benefit programs within the USA Benefits Credit Builder Elite membership program may be subject to separate terms and conditions and may be altered or substituted with products or services of equal or better value.
8. CREDIT BUREAU REPORTING: I understand that My Credit Builder Elite Status Membership as well as My monthly payment history will be reported to a credit bureau once My identification is verified. Before reporting My new Account to a Credit Bureau, USA Benefits must receive a photocopy of My Social Security card to verify My identity. If I fail to provide a photocopy of My Social Security card to USA Benefits, My new Account will not be reported to a credit bureau. A photocopy of My Social Security card must be submitted to: USA Benefits, One Millennium Drive, Uniontown, PA 15401.
9. CREDIT BUREAU ACCESS: USA Benefits will not access Your personal credit report as part of the activation process in establishing Your initial credit Account.
10. MONTHLY BILLING FOR CHARGED PURCHASES: I will be billed each month for the balance of charges made to My Account. My Account must be maintained on a current basis to make additional credit purchases and to receive additional Card Member benefits.
11. APPLICATION OF PAYMENTS RECEIVED: Payments received are always applied first to any unpaid late fee(s) that may be owed. The remaining portion of the payment is applied to any unpaid Principal Balance. Payments are to the Principal Balance, not to purchases.
12. MINIMUM MONTHLY PAYMENT: I agree to pay at least the minimum payment amount shown on each billing statement. All payments must be received on or before the due date indicated on the billing statement, or a late fee may be assessed. The Minimum Monthly Payment which must be paid every month (as long as My Account shows an outstanding balance) is calculated by finding the greater of (a) or (b): a) 15% of the Account balance owed on My Account, or b) $25.00, whichever is greater. This figure is the Minimum Monthly Payment. The Minimum Monthly Payment does not automatically decrease as My Account balance decreases. Should My new balance be less than $25.00, the payment due will be the amount of the new Principal Balance. By applying for USA Benefits Credit Builder Elite, You request that We and authorize Us to automatically deduct from Your bank account the minimum payment due each statement or billing cycle. When You receive Your Credit Builder Elite, You may call USA Benefits Member Services to modify the amount that You wish to pay through this automatic payment plan by selecting either (a) the full balance due; or (b) a fixed amount each month. Note: If You select a fixed payment amount, We may still deduct from Your bank account the minimum payment due if that amount due is greater than the amount You selected for Your fixed payment.
13. CASH ADVANCES: After completion of repayment in full of merchandise purchases in excess of $100.00, I shall be eligible to request a cash advance in the amount not to exceed fifty percent (50%) of the total amounts paid on-time for merchandise, since My Account was established, but not to exceed $2,500. Cash advances will bear 0% interest, shall be applied to My USA Benefits Account balance and repaid by Me like any other account balance for purchases, pursuant to Section 12. No more than one cash advance may be outstanding and un-repaid in full at any one time.
14. DELINQUENT ACCOUNT: My Account is considered delinquent if USA Benefits does not receive the Minimum Monthly Payment by the due date. If this occurs, a $10.00 late fee may be charged.
15. FREE COMPUTER:If I maintain My Credit Builder Elite membership and make on-time payment for My membership for twelve (12) consecutive months, I will be entitled to receive a free computer.
16. DEFAULT ON ACCOUNT: I will be in default if: a) I fail to pay the “Minimum Monthly Payment” when due; or b) I breach any of the Terms and Conditions of this Agreement. If I am in default, USA Benefits has the right to: a) demand Me to pay the entire unpaid balance on the Account immediately; b.) suspend purchases until the default is cured; c.) apply monies received on subsequent allowed purchases to any delinquent Account balance owed including late fees, if applicable; and/or proceed with legal action; and d) consider my membership to be immediately terminated.
17. REFUND OF CARD MEMBERSHIP: You may cancel Your enrollment into USA Benefits Credit Builder Elite at any time. You will be debited $49.95 every month in which You maintain Your Credit Builder Elite Membership Status. You may cancel Your service at any time by contacting Our Member Services Department. If You cancel Your service after the monthly debit has occurred, You will cancel any subsequent debits, however, You will not receive a refund for the current month. IMPORTANT: Merchandise return policy and instructions are explained on the product order forms and/or on the shopping Web site.
18. CANCELLATION OF ACCOUNT: USA Benefits, at its sole discretion, may cancel this Agreement, and may demand payment in full of the entire balance due if You default on this contract. In the event USA Benefits cancels Your Account; You will continue to be responsible to make full payment of any Unpaid Balance.
19. FRAUD RESOLUTION: As a matter of policy, We fully cooperate with all law enforcement agencies in the pursuit of fraud, with regard to the unauthorized use of information in applying for this membership. If You believe Your bank account was fraudulently charged for the membership fees, We will make every effort to aid in a resolution. Before We can take any action, please fax or mail a copy of the official report filed with Your local Police or law enforcement agency detailing the suspected fraudulent act and also a copy of the portion of Your Account statement showing the date and amount of the withdrawal. Please allow Us two (2) weeks for resolution after We receive the report and statement.
20. SECURITY INTEREST: USA Benefits, to the extent legally permissible, retains a security interest in all merchandise charged on the Charge Account until the balance is paid in full.
21. APPLICABLE LAW: The law of the State of Pennsylvania shall apply to this Agreement.
22. PROPRIETARY RIGHTS: The content, organization, graphics, design, compilation, magnetic translation, digital conversion, software and other matters related to the Web site, the Service and/or Your Account are protected under applicable copyrights, trademarks and other proprietary (including, without limitation, intellectual property) rights. The copying, redistribution and/or publication by You of any part of the Web site, the Service and/or Your Account are strictly prohibited. You do not acquire ownership rights to any content, document, software, service or other materials viewed at or through the Web site, the Service and/or Your Account. The posting of information or material at the Web site and Service by USA Benefits does not constitute a waiver of any right in such information and/or materials.
23. PRIVACY POLICY: Use of the Web site, the Service and/or Your Account is subject to Our Privacy Policy, which is hereby incorporated into, and made part of, this Agreement. We reserve the right, and You authorize Us, to use and assign all information regarding Your Web site, Service and Account use, and any and all other personal information provided by You, in any manner consistent with Our Privacy Policy, which is hereby made a part of this Agreement.
24. INDEMINIFICATION: You agree to indemnify, defend and hold USA Benefits, its owners, and each of their respective officers, partners, members, employees, agents and attorneys, and affiliates (each a "Covered Party"), harmless against any and all liabilities, claims, actions, suits, proceedings, judgments, fines, damages, costs, losses and expenses (including reasonable attorneys' fees, administrative costs and/or settlement costs) arising from Your breach of this Agreement and/or Your use of the Web site, the Service and/or Your Account, in any manner whatsoever.
25. AUTHORIZATION TO OBTAIN & DISCLOSE INFORMATION: By becoming a member of the USA Benefits Credit Builder Elite and obtaining the USA Benefits Credit Builder Elite Card, I authorize USA Benefits to obtain a Credit Report that is based on the information that I provide to USA Benefits as well as exchange information about how I handle My Account with lawful recipients and with the Credit Bureau. The Company may require Me to provide updated and/or additional information during the term of My card membership in order for Me to receive additional benefits.
26. SHARING INFORMATION WITH THIRD PARTIES: We may disclose to Our affiliate companies any and all of the information that We collect in the application process and that We may gather in consideration of Your application. We do not share information with any non-affiliated third parties except in select circumstances when a business partner refers You to Us and You give Us permission to share information with that business partner. When identifying methods of improving Our products and services or if We think a product may be of interest to You, We may arrange to extend offers of goods or services to You either directly or through Our affiliates. In addition, We may disclose all of the information We collect, as described above, to companies that perform services on Our behalf such as the credit reporting agencies from which We obtain Your credit report(s), credit card processors, email communications management firms or call center providers. We may also disclose nonpublic personal information about You to nonaffiliated third parties as permitted by law.
27. MEMBERSHIP IN GOOD STANDING REQUIREMENT: I understand that My charge privileges, current charge limit, current down payment/no down payment requirement, credit bureau reporting (if applicable), or other card member benefits and/or special promotions/programs are subject to My maintaining My Account in good standing by making My Membership and Minimum Monthly Payments on-time. Should I become delinquent on My Account, or in default, then I understand that My privileges and benefits may be changed and/or suspended until I have re-established a consistent pattern of on-time monthly minimum payments.
I certify that I have read, understand and agree to all the Terms and Conditions and Disclosures written in this Agreement. I certify that all the information I provided to USA Benefits is true, accurate and verifiable. The information about the costs of the card described in this application/solicitation is accurate as of January 2009. The information may be changed after that date. To find out what may have changed, write us at USA Benefits, One Millennium Drive, Uniontown, PA 15401. If the Cardholder does not agree with any changes in the terms and conditions of the card Account, the Cardholder may close their Account without incurring any penalty. Please note that the Cardholder will be responsible for paying all outstanding balances in the event they close their Account.
Terms and Conditions of this Program may be modified and Services and Benefits may be added or deleted at any time.
28. COMMUNICATIONS: I understand and agree that the Company may contact Me via telephone (both live and recorded messages), e-mail, mail, and other forms of communication, pertaining to My Account as well as other offers or programs that the Company believes may be of interest to Me.
29. STATE NOTICES
NOTICE FOR CALIFORNIA RESIDENTS: California law requires that We inform customers that should they fail to fulfill the terms of their credit obligation, a negative report reflecting on their credit record may be submitted to a credit-reporting agency. If You are married, You may apply for credit in Your own name.
NOTICE FOR FLORIDA RESIDENTS: You (borrower) agree that, should We obtain a judgment against You, a portion of Your disposable earnings may be attached or garnished (paid to Us by Your employer), as provided by Florida and Federal law.
NOTICE FOR MAINE RESIDENTS: We may request a Consumer Report in connection with Your request for a credit line increase or to be considered for some other USA Benefits Product. You may ask whether We obtained a Consumer Report and We will tell You the name and address of the Consumer-Reporting Agency, if a report was obtained.
NOTICE FOR NEW YORK RESIDENTS: A Consumer Credit Report may be requested in connection with this application or in connection with updates, renewals, or extensions of any credit granted as a result of this application. Upon Your request, You will be informed whether or not such a report was requested and, if so, the name and address of the agency that furnished this report. New York residents may contact the New York State Banking Department to obtain a comparative listing of credit card rates, fees and grace periods. New York State Banking Department 1-800-518-8866.
NOTICE FOR OHIO RESIDENTS: The Ohio laws against discrimination require that all creditors make credit equally available to all creditworthy customers, and that credit reporting agencies maintain separate credit histories on each individual upon request. The Ohio Civil Rights Commission administers compliance with this law.
NOTICE FOR MARRIED WISCONSIN RESIDENTS: No Agreement, unilateral statement or court decree relating to marital property adversely affects a creditor's interest, unless prior to the time credit is granted the creditor is furnished a copy of the Agreement, statement or decree, or has actual knowledge of the adverse position. DISCLAIMERS AND LIMITATIONS: THE WEB SITE, THE SERVICE, YOUR ACCOUNT AND ANY MERCHANDISE OBTAINED THROUGH THE CARD ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING, WITHOUT LIMITATION, THE DISCLAIMER OF ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY AND/OR FITNESS FOR A PARTICULAR PURPOSE). THE WEB SITE, THE SERVICE, YOUR ACCOUNT AND ANY MERCHANDISE OBTAINED THROUGH THE SERVICE MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. USA BENEFITS AND THE COVERED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF, OR INABILITY TO USE, THE WEB SITE, THE SERVICE, YOUR ACCOUNT AND ANY MERCHANDISE OBTAINED THROUGH THE SERVICE. IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, USA BENEFITS AND THE COVERED PARTIES ARE NOT LIABLE TO YOU AND/OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION OF DAMAGES SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN USA BENEFITS AND YOU. THE WEB SITE, THE SERVICE, YOUR ACCOUNT AND ANY MERCHANDISE OBTAINED THROUGH THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE WEB SITE, THE SERVICE, YOUR ACCOUNT AND ANY MERCHANDISE OBTAINED THROUGH THE SERVICE SHALL CREATE ANY WARRANTY, REPRESENTATION AND/OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT.
ALL RESPONSIBILITY AND/OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES AND/OR WORMS CONTAINED WITHIN AN ELECTRONIC FILE AVAILABLE AT THE WEB SITE AND/OR THROUGH THE SERVICE IS DISCLAIMED. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL DOWNLOADED, OBTAINED OR OTHERWISE ACCESSED THROUGH THE USE OF THE WEB SITE, THE SERVICE AND/OR YOUR ACCOUNT IS DONE AT YOUR OWN DISCRETION AND AT YOUR OWN RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY AND ALL DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT MAY RESULT FROM THE DOWNLOADING OF ANY SUCH MATERIAL.
OUR MAXIMUM LIABILITY TO YOU UNDER ANY AND ALL CIRCUMSTANCES WILL BE EQUAL TO THE LOWEST PURCHASE PRICE THAT YOU HAVE PAID FOR ANY SINGLE PIECE OF MERCHANDISE AT THE WEB SITE AND/OR THROUGH THE SERVICE. NOTWITHSTANDING THE FOREGOING, USA BENEFITS SHALL NOT BE LIABLE TO YOU FOR ANY SERVICE, GOODS OR INFORMATION AVAILABLE FROM THIRD PARTIES, EVEN IF OBTAINED AT OR THROUGH THE WEB SITE AND/OR SERVICE.
31. BILLING RIGHTS: This notice contains important information about Your rights and Our responsibilities under the Fair Credit Billing Act.
Notify Us in Case of Errors or Questions about Your Statement of Account.
If You think Your bill is wrong, or if You need more information about a transaction on Your bill, write Us, on a separate sheet of paper, at the address listed on Your bill. Write to us as soon as possible. We must hear from You no later than 60 days after We sent You the first bill on which the error or problem appeared. You may telephone Us, but doing so will not preserve Your rights. In Your letter, give us the following information: 1) Your name and Account number. 2) The dollar amount of the suspected error. 3) Describe the error and explain, if You can, why You believe there is an error. If You need more information, describe the item You are not sure about.
Your Rights and Our Responsibilities After We Receive Your Written Notice.
We must acknowledge Your letter within 30 days unless We have corrected the error by then. Within 90 days We must either correct the error or explain why We believe the unpaid bill was correct. After We receive Your letter, We cannot attempt to collect any amount You questioned or report You as delinquent. We may continue to bill You for the amount You questioned, and We may apply any amount You question against Your credit limit. You do not have to pay any questioned amount while We are investigating, but You are still obligated to pay any charges related to any questioned amount. If We did not make a mistake, You will have to make up any missed payments on the questioned amount. In either case, We will send out a statement of the amount You owe and the date that it is due. If You fail to pay the amount that We think You owe, We may report You as delinquent. However, if Our explanation does not satisfy You, and You write to us within 10 days telling Us that You still refuse to pay, We must tell anyone We report You to that You have a question about Your bill. And We must tell You the name of anyone to whom We reported this information. We must tell anyone to whom We have reported on the matter in question when it is finally settled. If We do not follow these rules, We cannot collect the first $50.00 of the questioned amount, even if Your bill was correct.

32. CHOICE OF LAW; JURISDICTION AND VENUE: The laws of the Commonwealth of Pennsylvania shall be applied in any dispute or claim arising between USA Benefits and the Cardholder. Any and all lawsuits or claims arising out of this Agreement or the relationship covered hereby shall be brought exclusively in the Courts of either Fayette County, Pennsylvania, or the US District Court for the Western District of Pennsylvania, without regards to their conflict of laws rules.
